ApeXhit LinkIT — Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and
ApeXhit LLC
, a Florida limited liability company ("ApeXhit," "we," "us," or "our"), governing your access to and use of the ApeXhit LinkIT web application, the installable Progressive Web App ("PWA") version of it, and related services (collectively, the "Service" or "LinkIT"). By accessing or using LinkIT, you agree to these Terms. If you do not agree, do not use the Service.1. What LinkIT Is
LinkIT is a personal and team productivity app for organizing web links, notes, and freeform notebooks. In plain terms, it lets you save a bookmark under a custom name, drop it into a category tile on a page, and build out an entire personal knowledge base around it — sticky notes, drawings, voice memos, checklists, and multi-tab journals — all without needing a server if you don't want one (Guest mode keeps everything on your own device). Its intended purpose is to be a fast, private-by-default, drag-and-drop organizer for people who accumulate a lot of links and notes and want them structured, searchable, and optionally synced across their own devices.
2. Eligibility
You must be at least 13 years old to use LinkIT. If you are under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
3. Description of the Service
LinkIT currently lets you:
- Create and organize renamed weblink "shortcuts" into user-defined categories, grouped on pages, with drag-and-drop reordering (including on touch/mobile) and alphanumeric or manual sorting;
- Create Sticky Notes with rich text, hyperlink auto-detection, checklists (drag-and-drop reordering, checked items automatically moved to the bottom, Enter-to-split behavior), embedded images, freehand drawings, voice/audio recordings, hidden/masked text within a note, and a full-screen editing mode with adjustable page size (Letter/Legal), margins, font family/size, and text alignment for longer writing;
- Organize content into a Journal feature — customizable, colorable, icon-labeled tabs and sheets, each able to contain its own pages, categories, and Sticky Notes, plus free-standing sheet notes with the same rich-text/formatting tools, section collapsing, and drag-and-drop reordering of sections;
- Copy or add categories, Sticky Notes, pages, journal tabs, and journal sheets between the main app and Journals, or between Journals — each copy is an independent duplicate by default, so editing one afterward does not change the other, except where the app explicitly tells you a copy is a synchronized/mirrored duplicate (in which case edits to either copy apply to all linked copies);
- Apply labels — including a built-in "Private" label that automatically blurs/hides sensitive items after a short period of inactivity or on app reload/refresh — manage all labels from one dedicated Labels section, and use archive/trash (including drag-to-trash) with restore capability across pages, categories, links, sticky notes, journals, tabs, and sheets;
- Generate shareable internal deep links ("ultrahyperlinks") to specific pages, categories, notes, or links within your own account, including links that open a specific Sticky Note directly in edit mode;
- Generate public, read-only share links to a page, journal, journal sheet, sticky note, category, drawing, or a combined "bundle" of several items — anyone with that link can view the shared content without signing in, until you revoke it (see Section 8);
- On Pro tier and above, bookmark a public share link you're viewing (including specific tabs/sheets inside a shared Journal) so you can find it again later from your own account;
- Use optional AI-powered tools — extracting text from an image ("OCR"), transcribing voice/audio recordings to text, and translating text or speech between languages — each of which sends only the specific content you submit for that action to a third-party AI provider (currently Google Gemini) for processing, as described in our Privacy Policy;
- Export a note, sheet, or drawing as an image (PNG), a PDF, or a genuine Word document (.docx) — the .docx export is generated by our server from the content you export, and is not retained afterward (see Section 8 and our Privacy Policy);
- Secure your account with a numeric PIN for sensitive actions and an optional authenticator-app-based two-factor authentication (2FA/TOTP) for sign-in, and manually lock the app behind that PIN at any time from a "Lock LinkIT" button — this local screen lock is separate from, and does not replace, the session timeout described in Section 6;
- View an in-app estimate of local storage used versus available, search across your own Pages and Journals, and switch between light and dark display modes (dark by default);
- Store data locally in your browser/device (via IndexedDB and, for small preferences, localStorage) and optionally export/import (backup) that data as a downloadable file;
- Optionally sync and merge data across your own devices (with a review step to identify and resolve potential duplicates before a multi-device sync is finalized), and optionally back up to your own Google Drive account ("cloud sync"), where and when that feature is enabled;
- Browse a searchable in-app Help/FAQ section describing LinkIT's features, and access other ApeXhit-branded applications and the ApeXhit landing page via an in-app "waffle" menu linking to apexhit.org;
- Use LinkIT instantly with no account at all via "Guest" mode, or create a full account (via Google Sign-In or email/password) to sync across devices, add other Members, and unlock higher license tiers.
We may add, modify, or remove features at any time without liability to you, provided we do not materially degrade previously-purchased functionality without notice (see Section 10, Refund Policy).
4. Guest Mode, Accounts, Roles, and License Tiers
Guest mode:
No account, email, or password is required to use LinkIT as a Guest — click "Continue as Guest" on the sign-in page. Guest mode carries the same feature limits as the free Lite tier, and your data is never transmitted to or stored on ApeXhit's servers under any circumstance; it stays only in your browser's local storage, exactly as LinkIT worked before any account system existed. Guest data has no cloud backup, sync, or recovery — you are solely responsible for exporting your own backup before clearing browser storage or switching devices. You may create a real account at any time; local data already on that device/browser remains usable afterward.Accounts, roles, and license tiers:
Signing up (via Google Sign-In or email/password, including invitation by an existing owner) creates a real LinkIT account organized into a "group" with one of three roles — Root Owner (the platform operator), Co-Owner (runs their own independent group and can invite Members), or Member (shares their group's data). A self-signup via Google is registered as a Co-Owner on the free Lite tier with a completely clean workspace, and can sign in afterward with Google or a temporary emailed password. Each group runs on exactly one license tier (Lite, Pro, Family, Team, or Enterprise) that determines seat count, page/category/note limits, and which features (Journal, Draw, Voice, QR, Translate, Restore Points, cloud sync, share bookmarking) are unlocked; only the Root Owner may issue, update, or revoke a group's license, as detailed in our License Tiers & Accounts page. Sensitive Root-Owner actions (issuing/updating/revoking a license, disabling an account, revoking a Co-Owner's ownership, and changing app-wide feature flags) are protected by that Root Owner's security PIN, where enabled.Account security options:
Any real account holder may set a numeric PIN to protect sensitive account/license actions and to manually lock the app on their own device, and may separately enable authenticator-app-based two-factor authentication (2FA) so sign-in requires both a password and a time-based one-time code. Both are optional and independent of each other.Local-only vs. synced accounts:
Guest mode (no account) keeps all User Content on your own device only — LinkIT does not store that content on ApeXhit-owned servers. Every signed-in tier, including the free Lite plan, syncs your group's User Content to a database ApeXhit operates (currently hosted on Neon/PostgreSQL) so it stays consistent across your devices and group members, in addition to any optional Google Drive backup you separately enable. See our Privacy Policy for exactly what account and synced data we store and how it is protected.Feature flags:
The Root Owner can enable or disable certain app-wide capabilities (currently: manual Export/Import backup and the multi-device Sync/Merge tool) for everyone, including Guests, from an admin panel. This does not affect automatic cloud sync for any signed-in tier (including the free Lite plan).- You are solely responsible for the accuracy, legality, and backup of the links, notes, labels, drawings, recordings, and other content you create in LinkIT ("User Content").
- You are responsible for safeguarding any device, browser profile, account credentials, PIN, 2FA recovery codes, or third-party account used to access or sync your LinkIT data. LinkIT always keeps a local copy on your device (even for synced tiers), so anyone with access to your unlocked device or browser profile can view or modify it — we are not liable for loss or exposure of data caused by clearing browser storage, uninstalling the app, losing device access, sharing a device/browser profile, forgetting your PIN, losing 2FA access, or third-party account issues outside our control.
- Only import backup files, or accept multi-device sync/merge data, from sources you trust. LinkIT sanitizes imported/synced rich-text content (Sheet Notes) against an allowlist of safe HTML before storing and before rendering it, but importing a file from an untrusted source is still done at your own risk.
5. Acceptable Use
You agree not to use LinkIT to:
- Store, link to, or distribute content that is illegal, infringing, defamatory, obscene, or that violates the rights of any third party;
- Publish, via a public share link, content you do not have the right to make publicly viewable, or content intended to harass, deceive, or harm any person who receives that link;
- Attempt to reverse-engineer, decompile, or extract source code from the Service, except where applicable law expressly permits it;
- Circumvent, disable, or interfere with security-related or access-control features of the Service, including PIN/2FA protections, rate limits on AI-powered features, or public-share revocation;
- Use the Service to build a competing product using ApeXhit's proprietary code, design, or branding;
- Use automated means (bots, scrapers) to access the Service, its public share links, or its AI-powered features specifically, in a manner that imposes unreasonable load or attempts unauthorized data extraction;
- Distribute malicious code, malware, or phishing links via any sharing, note, or import feature;
- Submit content to the OCR, transcription, or translation features that you do not have the right to process, or that is illegal, infringing, or abusive.
We reserve the right to suspend or terminate access, and to revoke public share links, for violations of this section.
6. Session Security, PIN Lock, and Sign-In Timeout
LinkIT distinguishes between two independent security mechanisms, and it's worth understanding the difference: (a) a
local PIN lock
("screensaver"), which only ever engages when you explicitly tap "Lock LinkIT" — it hides the app behind a PIN-entry screen on that device until unlocked, without ending your underlying sign-in session, and persists through the app being minimized, backgrounded, or (on an installed Android app) having its process killed and relaunched by the operating system; and (b) theaccount session timeout
, which automatically and fully signs you out, requiring your password (and 2FA code, if enabled) again, after a period of real inactivity on your account — regardless of whether you ever used the PIN lock. Merely minimizing the app, switching apps, or briefly checking a notification does not, by itself, trigger either mechanism.7. Intellectual Property
Our IP:
LinkIT's software, source code, design, user interface, icons, the ApeXhit name and marks, and all related intellectual property are owned by ApeXhit LLC or its licensors and are protected by U.S. and international law. Nothing in these Terms grants you any ownership right in the Service itself.Your IP:
You retain all ownership rights in your User Content. By using cloud sync features, you grant ApeXhit a limited, non-exclusive license solely to transmit, store, and sync that content through the third-party service you connect (e.g., Google Drive) as necessary to provide the feature. By using an AI-powered feature (OCR, transcription, or translation) or the Word (.docx) export, you grant ApeXhit a limited, non-exclusive license solely to transmit the specific content you submit to the relevant processing provider and return the result to you — we do not claim ownership of your content and do not use it to train AI models or for advertising. By creating a public share link, you grant anyone who has that link a license to view the shared content for as long as the link remains active.Third-party links:
LinkIT stores links to third-party websites you choose to save. We do not control, endorse, or take responsibility for the content, availability, or safety of external sites you link to.8. Sharing, Public Links, and Bookmarking
Public share links are, by design, viewable by
anyone who has the link
— LinkIT does not require the viewer to sign in, and does not restrict a share link to a specific person or device. You are solely responsible for deciding what to share publicly, for whom you send a share link to, and for revoking a share link (from your own account) once it's no longer needed. We log basic view counts for shares you create so you can see whether a link has been visited, but we do not track the identity of anonymous viewers beyond standard technical/usage data described in our Privacy Policy. Where bookmarking of a shared link is available (Pro tier and above, for signed-in viewers), the bookmark only stores a reference to the share link and the viewer's own account — it does not change who can view the underlying shared content.9. Local Storage, Backup, and Data Loss
LinkIT's core storage relies on your browser's/device's local storage. Clearing browser data, using private/incognito mode, uninstalling the app, or switching devices may permanently delete local data unless you have exported a backup or enabled cloud sync.
The manual export/backup (download/upload) feature and any auto-generated safety backups (e.g., before an import operation) are provided as a convenience. You are responsible for maintaining your own backups. ApeXhit is not liable for data loss resulting from local storage limitations, browser behavior, failed imports, or user error. Where multi-device sync is offered, duplicate-detection/review tools are provided before merges are finalized, but you are responsible for reviewing merge results before confirming and for only merging data from your own trusted devices.
10. Installed App (Progressive Web App)
LinkIT can be installed to a device's home screen as a Progressive Web App (PWA) — for example, "Add to Home Screen" on Android or a similar browser-native install prompt — which lets it run in its own window and be launched like a native app. Our End User License Agreement governs your license to install and run that installed version, in addition to these Terms. LinkIT does not currently distribute a compiled native binary through an app store; if that changes, the EULA will apply to that binary as well.
11. Third-Party Services
LinkIT integrates with third-party services in four ways: (a) Google Sign-In, used only to authenticate you and create/access your LinkIT account (we receive your Google account's email, name, and a unique identifier — never your Google password); (b) Google Drive, solely at your direction and using your own credentials, for optional cloud backup/sync; (c) Google Gemini, an AI processing provider used to power the optional OCR, voice transcription, and translation features, which receives only the specific content you submit to those features for the duration of that request; and (d) our own server-side document-conversion step for the Word (.docx) export, which processes only the specific note/sheet/drawing content you choose to export, for the duration of that request. Your use of Google's services is governed by their own terms and privacy policies. ApeXhit is not responsible for the availability, security, accuracy, or conduct of third-party services, including the accuracy of AI-generated text extraction, transcripts, or translations.
12. Pricing Previews and Future Paid Plans
LinkIT's Upgrade and License pages may display a "starting at" price next to each license tier. These figures are a preview of planned pricing only — no payment processor is connected to LinkIT at this time, no charges occur, and every upgrade continues to be granted for free upon request via our Discord community, as described on the Upgrade page. If and when paid billing launches, these Terms and our Refund Policy will be updated accordingly, and continued use after that update constitutes acceptance of the change (see Section 15).
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE AGAINST DATA LOSS, SYNC CONFLICTS, GARBLED/CORRUPTED CONTENT, OR INACCURATE AI-GENERATED OUTPUT (TEXT EXTRACTION, TRANSCRIPTS, OR TRANSLATIONS), THOUGH WE WORK TO PREVENT AND FIX SUCH ISSUES.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEXHIT LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.
15. Indemnification
You agree to indemnify and hold harmless ApeXhit LLC from claims arising out of your User Content (including anything you make available via a public share link), your violation of these Terms, or your violation of any third party's rights.
16. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service at any time; because most data is stored locally or in your own connected accounts, uninstalling the app or clearing local storage effectively ends your use.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by an updated "Last Updated" date and, where feasible, an in-app notice. Continued use after changes take effect constitutes acceptance.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction there.
